1. Introduction

These Terms and Conditions ("Terms") govern your use of the Lumenpath website at lumenpat.cyou and any advisory services you engage us to provide. By accessing our website or proceeding with an engagement, you agree to these Terms.

Lumenpath is a business advisory firm registered in Malaysia and operating from Level 9, Block 3750, CoMTech, Persiaran APEC, 63000 Cyberjaya, Selangor. References to "we", "us" or "our" in these Terms refer to Lumenpath.

2. Use of This Website

You may use this website for lawful purposes only. You agree not to:

  • Use the website in any way that violates applicable Malaysian or international law or regulation.
  • Transmit unsolicited communications or attempt to interfere with the website's operation.
  • Attempt to gain unauthorised access to any part of the website or its underlying systems.
  • Copy, reproduce or redistribute content from this website without our prior written permission.

We reserve the right to restrict or terminate access to the website at our discretion without notice.

3. Services

Lumenpath provides business advisory services in the area of digital transformation strategy. Our services are described on our Solutions page and in any engagement proposal or letter of engagement we issue. The scope, deliverables, timeline and fees for each engagement are agreed in writing before work begins.

Our advisory services constitute professional opinion and structured guidance. Decisions arising from our work remain with your organisation. We do not provide legal, financial, accounting or regulated professional services, and nothing in our work should be construed as such.

4. Fees and Payment

Fees for our services are stated in the relevant engagement proposal. Unless otherwise agreed in writing:

  • Invoices are issued as specified in the engagement proposal (typically on commencement and on completion, or in monthly instalments for retainer arrangements).
  • Payment is due within 14 days of invoice date.
  • All fees are stated in Malaysian Ringgit (RM) and are exclusive of any applicable taxes unless otherwise stated.
  • Late payments may incur interest at a reasonable rate, and we reserve the right to pause work on an engagement where payment is overdue by more than 14 days.

5. Intellectual Property

All content on this website — including text, graphics, structure, design and code — is the property of Lumenpath or its licensors and is protected by applicable intellectual property law. You may not reproduce or distribute it without permission.

Deliverables produced in the course of a paid engagement (such as readiness summaries, roadmap documents and working notes) are provided to you for your internal business use. Ownership of bespoke deliverables passes to you on receipt of full payment. Lumenpath retains the right to use general methodologies, frameworks and knowledge developed through engagements.

6. Confidentiality

Both parties agree to treat as confidential any non-public information shared during an engagement and not to disclose it to third parties without prior written consent. This obligation does not apply to information that is or becomes publicly available through no fault of the receiving party, or that is required to be disclosed by law.

Confidentiality obligations survive the conclusion of an engagement for a period of three years.

7. Limitation of Liability

To the extent permitted by Malaysian law, Lumenpath's total liability to you in connection with any engagement shall not exceed the fees paid by you for that engagement in the 12 months preceding the event giving rise to the claim.

We are not liable for indirect, incidental or consequential losses, including lost profits or business interruption, arising from your use of our website or the outputs of our advisory work. Our advisory outputs are professional opinions and do not constitute a warranty of particular outcomes.

8. Termination of Engagements

Either party may terminate an engagement by giving written notice as specified in the engagement proposal (typically 14 days for fixed-scope engagements and 30 days for retainer arrangements). On termination:

  • You are responsible for fees corresponding to work completed up to the termination date.
  • Each party will return or securely destroy confidential materials belonging to the other.
  • Delivered outputs completed prior to termination remain available to you subject to payment of applicable fees.

9. Governing Law

These Terms are governed by the laws of Malaysia. Any disputes arising from these Terms or from an engagement shall first be addressed through good-faith discussion between the parties. Where that is not successful, disputes shall be subject to the exclusive jurisdiction of the courts of Malaysia.

10. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page. Continued use of our website after changes are posted constitutes acceptance of the revised Terms. For active engagements, changes to Terms do not affect the terms of that engagement unless agreed in writing.
